1. Acceptance of Terms
By accessing or using the services of Qualified Machine Shop ("Company," "we," "our," or "us"), you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
These Terms and Conditions govern all services provided by Qualified Machine Shop, including but not limited to CNC milling, CNC turning, precision machining, and related manufacturing services.
2. Services
2.1 Scope of Services
Qualified Machine Shop provides custom CNC machining and manufacturing services, including:
- 3-axis CNC milling
- CNC turning and lathe work
- Precision machining
- Prototype development
- Production runs
- Quality inspection and verification
2.2 Quotes and Estimates
All quotes and estimates are valid for 30 days from the date of issuance unless otherwise specified. Quotes are based on the information provided by the Customer and may be subject to revision if project specifications change.
2.3 Project Specifications
Customers are responsible for providing accurate and complete project specifications, including drawings, CAD files, material requirements, and tolerances. We are not liable for errors or defects resulting from incomplete or inaccurate specifications provided by the Customer.
3. Pricing and Payment
3.1 Pricing
Prices are quoted in U.S. Dollars (USD) and are subject to change without notice. Final pricing will be confirmed in writing before work begins.
3.2 Payment Terms
- New Customers: Payment in full or 50% deposit required before work begins
- Established Customers: Net 30 days from invoice date (subject to credit approval)
- Large Orders: May require progress payments or deposits
3.3 Late Payments
Accounts not paid within the agreed terms are subject to a late fee of 1.5% per month (18% per annum) or the maximum rate permitted by California law, whichever is less. We reserve the right to suspend services for accounts with outstanding balances.
3.4 Taxes
All prices are exclusive of applicable sales tax, use tax, and other government-imposed taxes. Customer is responsible for all applicable taxes unless a valid tax exemption certificate is provided.
4. Orders and Cancellations
4.1 Order Acceptance
All orders are subject to acceptance by Qualified Machine Shop. We reserve the right to refuse or cancel any order at our discretion.
4.2 Cancellations
- Orders may be cancelled before work begins with written notice
- Once work has commenced, Customer is responsible for all costs incurred up to the point of cancellation
- Custom or non-standard materials purchased for a specific project are non-refundable
4.3 Changes to Orders
Changes to project specifications after work has begun may result in additional charges and extended lead times. All changes must be approved in writing.
5. Delivery and Lead Times
5.1 Lead Times
Estimated lead times are provided in good faith but are not guaranteed. Actual delivery times may vary based on project complexity, material availability, and production schedule.
5.2 Shipping and Delivery
- Customer is responsible for shipping costs unless otherwise agreed
- Risk of loss passes to Customer upon delivery to the carrier
- Customer must inspect all shipments upon receipt and report any damage or discrepancies within 48 hours
5.3 Delays
We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to: material shortages, equipment failure, labor disputes, natural disasters, or acts of God.
6. Quality and Warranties
6.1 Quality Standards
We strive to meet or exceed industry standards for precision machining. All work is performed in accordance with the specifications provided by the Customer.
6.2 Limited Warranty
We warrant that all work will be free from defects in materials and workmanship for a period of 90 days from delivery. This warranty does not cover:
- Defects resulting from Customer-provided specifications or materials
- Normal wear and tear
- Improper use, installation, or maintenance
- Modifications made by parties other than Qualified Machine Shop
6.3 Remedy
Our sole obligation under this warranty is to repair or replace defective parts at our discretion. This warranty is in lieu of all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claim arising from our services shall not exceed the amount paid by Customer for the specific services giving rise to the claim
- We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption
- Customer must provide written notice of any claim within 90 days of discovery
8. Intellectual Property
8.1 Customer IP
Customer retains all rights to designs, drawings, and specifications provided to us. We will not disclose Customer's proprietary information to third parties without consent.
8.2 Confidentiality
We treat all Customer information as confidential and will take reasonable measures to protect it from unauthorized disclosure.
8.3 Retention of Drawings
We may retain copies of drawings and specifications for our records and to facilitate future orders.
9. Material Ownership
Title to all materials and work-in-progress remains with Qualified Machine Shop until full payment is received. Customer grants us a lien on all materials and finished goods for any amounts owed.
10. Indemnification
Customer agrees to indemnify and hold harmless Qualified Machine Shop from any claims, damages, or expenses arising from:
- Customer-provided specifications, designs, or materials
- Use of our products in applications not approved by us
- Violation of third-party intellectual property rights
11. Force Majeure
Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or pandemics.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms and Conditions are governed by the laws of the State of California, without regard to conflict of law principles.
12.2 Venue
Any legal action arising from these terms shall be brought exclusively in the state or federal courts located in San Diego County, California.
12.3 Dispute Resolution
Parties agree to attempt to resolve disputes through good-faith negotiation before pursuing litigation. If negotiation fails, disputes may be submitted to mediation or arbitration as mutually agreed.
13. General Provisions
13.1 Entire Agreement
These Terms and Conditions, together with any written quotes or purchase orders, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
13.2 Amendments
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
13.3 Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.4 Waiver
Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
13.5 Assignment
Customer may not assign or transfer these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
